terms &
conditions.
These terms govern applications to the No Excuses Fund (the “Programme”) run by Radix Technologies Inc SEZC, a company incorporated in the Cayman Islands with its registered office at P.O. Box 10008, Willow House, Cricket Square, Grand Cayman, KY1-1001, Cayman Islands and the registry operator of the .tech top-level domain (the “Company”). The individual who submits is the “Applicant” and the team’s lead contact. A company named in the Application is an “Applicant Company” only if the Applicant has authority to accept these terms on its behalf and does so. The Applicant and any Applicant Company are separate parties to these terms, with the responsibilities stated below. The “Recipient” is the Applicant or Applicant Company identified in a written Award confirmation as entitled to receive the Award Funds. These terms take effect for the Applicant, and for any Applicant Company bound at the same time, when the Applicant first affirmatively accepts them on the Programme website during registration (the “Effective Date”). If there is no separate registration step, the Effective Date is the date of acceptance at submission. The Company will keep a record of the accepted version and time of acceptance.
01programme and awards
1.1 The Programme is a skill-based selection programme. There is no fee to apply through the Programme website. An “Application” consists of registration details, the submitted product and all supporting material. The product described is the “Project”.
1.2 The Programme may award up to US $1 million in cash grants in total. This is a maximum available amount, not a commitment to award the full amount, make any particular number of awards, or make awards in any particular amount. A cash grant confirmed in writing to a selected Recipient is an “Award”; its cash amount is the “Award Funds”. The Company decides the number, Recipients and amounts of Awards, subject to any limits expressly stated in these terms.
1.3 An Award is not an investment or loan. The Company receives no equity, option, security, revenue share or ownership interest in the Project in exchange for an Award.
1.4 The submission deadline and any other timetable will be published on the Programme website. The Company may extend or change dates by updating that website. All stated deadlines use US Pacific Time, including daylight saving time, unless the website expressly says otherwise.
1.5 The Company may confirm, pay and announce Awards at any time while the Programme is running, including before the submission deadline. This clause does not change the requirements in section 7. Receiving one Award does not make an Applicant, Applicant Company, Recipient or Project ineligible for another.
02eligibility
2.1 The Applicant, every named founder seeking an Award, and any individual Recipient must be at least 18 and at least the age of majority in the country of legal residence. A person under that age may contribute to the Project but may not apply or receive Award Funds directly. The Applicant must have the legal rights needed to submit that person’s contribution and obtain any required parent or guardian consent before using the minor’s name, image or work in Programme publicity. The Applicant and any Applicant Company must provide accurate residence, incorporation and payment information on request.
2.2 The Programme is not open to legal residents of Cuba, Iran, North Korea, Syria, Russia, Belarus, Brazil, mainland China, Italy, or Quebec, Canada; or of Crimea, Donetsk, Luhansk, and the non-government-controlled areas of Kherson and Zaporizhzhia in Ukraine. Residents of the rest of Canada may apply. An Application from a legal resident of Afghanistan, Venezuela or Myanmar may be accepted only if the Company can complete its required screening and make a lawful payment to the proposed Recipient. Eligibility is based on legal residence, not citizenship or temporary location. If an Applicant Company is proposed as Recipient, it must be legally established in a location the Company can lawfully serve and pay. The Company may request proof of these facts and makes the final eligibility determination, including after submission or shortlisting.
2.3 The Applicant, Applicant Company or proposed Recipient is ineligible if participation or payment is prohibited by applicable law or sanctions, if required screening of that party or of its beneficial owners, directors or named founders cannot be completed, or if the Company cannot make payment through an available lawful payment method. The Company may decline an Application or proposed Award on those grounds even if the Applicant’s location is not expressly excluded by clause 2.2.
2.4 Employees, officers and contractors of the Company or its group, Programme judges, persons able to influence selection, and their immediate family or household members are ineligible. Programme partners’ personnel are ineligible where they can influence selection. For this clause, immediate family means a spouse or domestic partner, parent, child or sibling, and any person living in the same household.
2.5 When the Company evaluates the Application and confirms an Award, the business operating the Project must be earlier than Series A stage. The Company will look at the substance of its financing, regardless of a round’s name or whether money was raised through shares, SAFEs, convertible notes or another instrument. Relevant factors include the total amount raised, the investors, the financing terms and the business’s stage. A substantial round labelled “seed” may be treated as Series A-equivalent. Pre-Series A financing is permitted. The Applicant must disclose funding amounts and a material change in financing before an Award is confirmed.
2.6 When the Applicant submits the Project, its primary public website must be live and working on a .tech domain, not merely a parked domain, holding page or redirect to a different primary domain. The .tech domain must be registered to the Applicant, an Applicant Company or a named founder, kept renewed, and used in compliance with applicable registry and registrar policies, including Radix's Acceptable Use and Anti-Abuse Policy. It must remain live on .tech throughout evaluation, until the Company notifies the Applicant of the outcome. If an Award is paid, the Recipient must keep the Project’s primary public website on a .tech domain without a gap until the earliest of 24 months after payment, the Project permanently ceasing operations, or a Qualifying Sale under clause 12.6. Reasonable temporary outages and maintenance do not breach this requirement. Suspension, cancellation or transfer of the domain arising from a breach of those policies is not a reasonable temporary outage. Moving the primary public website to a different domain before that time breaches this requirement. The primary public website is the address at which the Project's main product or service is made available to users, and to which the Project's own marketing and links point. A .tech domain that redirects or forwards to another primary address, or that hosts only an informational page while the product is served from another primary address, does not satisfy this requirement at any time during the required period.
2.7 A team may submit only one Application for a Project, regardless of how many founders or accounts it has. The Applicant must be authorized to submit and act as the team’s lead contact. An Applicant may submit more than one materially distinct Project. The Company may consolidate or reject duplicate or substantially identical Applications, including those submitted by different co-founders.
03review and decisions
3.1 The Company will assess Applications in good faith. It decides which factors are relevant and how much weight each carries. Those factors may include the working product, technical execution, insight into the problem, evidence of use, potential, originality, quality, credibility, eligibility, legal compliance and reputational risk. Any criteria described on the Programme website are indicative and not exhaustive. The Company may request further information. Meeting any described criteria does not guarantee an Award.
3.2 The Company and its service providers may use automated tools, including artificial intelligence, to process, check, summarize, score and shortlist Applications. Human reviewers make all final Award decisions. Automated output may contain errors and the Company may verify or override it.
3.3 Company staff and external judges may advise on Applications. Their membership and role may change. A judge must disclose to the Company an investment, advisory role, close personal relationship or other material interest in an Applicant, Applicant Company or Project, and must not review or influence that Application. The Company may appoint another reviewer or decide without that judge. Credit partners and other benefit providers have no role in deciding who receives an Award. The Company alone decides eligibility, selection, the number and value of Awards, and whether to make an Award. Decisions are final, subject to applicable law. The Company need not give individual feedback.
3.4 The Company may reject or stop evaluating an Application, including where information is missing, cannot be verified or is materially misleading. Applying, meeting the criteria, being shortlisted or speaking to a judge creates no entitlement to an Award.
3.5 An Applicant may withdraw an Application at any time before an Award is confirmed by writing to the Company. On withdrawal the Application will not be assessed further. The licenses in section 5 end for material not already published, the Company may retain material already published under clause 5.2, and sections 6, 11 and 12 continue to apply.
04applicant assurances and cooperation
4.1 The Applicant confirms that the Application is accurate in all material respects and that the Applicant has authority to submit it, accept these terms and, if relevant, bind the Applicant Company. The Applicant and any Applicant Company each confirm, as to the work and rights they control, that they own the original parts of the Project or have the rights, licenses and permissions needed to build, operate, demonstrate and submit it, receive an Award, and grant the licenses in section 5. Neither may submit a Project where another person’s rights prevent those activities.
4.2 The Applicant and any Applicant Company confirm that the Project and submitted materials do not infringe another person's intellectual property rights. Each must comply with applicable law and third-party rights in activities under its control, including privacy, data protection, consumer protection and applicable rules on the use of code, models, data, APIs and other services. The Project, the .tech domain and the Application must comply at all times with Radix's Acceptable Use and Anti-Abuse Policy, published at radix.website/policies. The Project must not contain malicious code. The Applicant must disclose material use of existing products, templates or third-party work when describing what the team built.
4.3 Until the Company confirms an Award, the Applicant must promptly disclose any change materially affecting the Applicant’s or Applicant Company’s eligibility, ownership of the Project, funding status or a material claim in the Application. The Applicant confirms that the Project was not built using an employer’s, client’s or university’s time, equipment, systems, code or confidential information without permission. If an employer, client, university or other person could claim ownership or restrictions because of the Applicant’s or team’s work or agreements, the Applicant must disclose this and provide written evidence that the necessary rights have been released or licensed before an Award is confirmed. Unrelated confidential terms may be redacted.
4.4 On reasonable request, the Applicant must demonstrate the Project and provide evidence supporting material claims. The Applicant must respond within three business days of the Company’s request, or within a longer period the Company agrees in writing. Failure to respond or cooperate may result in rejection or withdrawal of a proposed Award. A business day is a day other than a Saturday or Sunday. Deadlines are measured in US Pacific Time. If the Applicant tells the Company that a deadline falls over a public holiday where they are, the Company will allow a reasonable extension.
4.5 The Applicant and any Applicant Company authorize the Company, its judges and service providers to access and test the Project, any supplied test account and any private source-code repository access requested for evaluation or verification. Repository access must be limited to the Project, be read-only where the platform permits, and be provided only by someone authorized to grant it. The Company may inspect and make limited working copies needed to assess technical execution, subject to section 6. The Applicant must keep requested access reasonably available during evaluation and verification, but should not provide administrative credentials or unnecessary live customer data. The Company will remove its reviewer access and delete working copies of repository code within 30 days after the final decision or completion of Award verification, whichever is later, except for limited records reasonably needed to meet legal obligations or resolve disputes. The Applicant may then revoke any remaining access.
4.6 Neither the Applicant nor any Applicant Company may offer any payment, gift, hospitality or other inducement to a judge, adviser, employee or contractor of the Company in connection with the Programme. A breach of this clause disqualifies the Application and any Award.
05ownership and publicity
5.1 The Applicant or Applicant Company, as applicable, retains ownership of the Project, its code and its intellectual property. The Applicant and any Applicant Company each grant the Company and its service providers a non-exclusive, worldwide, royalty-free license to access, copy, display and use Application material, including any repository material supplied for review. The license is granted solely to administer, assess, verify, document and report on the Programme, and only over material that the granting party owns or is authorized to license. This license does not transfer ownership and does not permit commercial exploitation of the Project's code or product. Submission creates no duty to fund, invest in or develop the Project.
5.2 The Applicant and any Applicant Company each grant the Company, over material they own or are entitled to license, a non-exclusive, worldwide, royalty-free license to use the Project name, logo, .tech domain, publicly available Project material and submitted non-confidential promotional material to promote the Programme, the Company and .tech. The license runs for three years from the date the Company notifies the Applicant of the outcome of its Application. The Company may identify and promote Recipients and use their supplied quotes, photographs and recordings for those purposes without further payment. The Applicant confirms it has permission to supply material featuring other people. The Company may continue to display, distribute and retain material it published or produced under this license during its term, after the license ends.
5.3 The Company may describe an unsuccessful Applicant’s publicly available Project and participation, but will not publish nonpublic technical material or personal details from an unsuccessful Application solely for promotion without permission. The Company has no duty to seek advance approval of promotional content or to publish any Applicant’s story.
5.4 The Applicant or Applicant Company may accurately state that it applied for or received an Award, but may not suggest that the Company has certified, endorsed or invested in the Project or use Company marks beyond what is reasonably needed for an accurate statement without written consent.
5.5 Submitting an Application does not create a confidential relationship about ideas or concepts in it. The Company, judges and service providers may review competing projects and may already be working on, or independently develop, similar ideas. Similarity alone does not show misuse. This clause does not reduce the specific confidentiality duties in section 6 or permit use of the Applicant’s nonpublic code or technical material outside the Programme.
06information and privacy
6.1 The Company may collect information submitted by the Applicant, obtained through sign-in, gathered from public sources or obtained while testing the Project. Public sources may include the Project's website and public code repositories, and the Applicant's public professional or developer profiles. The Company and its service providers may use automated tools to collect, check and verify this information. It may use that information to administer, evaluate and verify Applications; conduct screening; make payments; address disputes; report on the Programme; and exercise the publicity rights in section 5.
6.2 The Company may share relevant information with group companies, judges, advisers, review and AI service providers, payment providers, Programme partners involved in providing a benefit, and authorities where required or appropriate. Recipient details will be shared with a benefit provider only as reasonably needed to make that benefit available, subject to the privacy notice. This may include the Applicant’s identity, company name and .tech domain where needed for review or verification. Before giving a review or AI provider nonpublic Application material, the Company will require that provider by contract to use it only for the Programme, keep it confidential, and not use it to train or improve its models or services. The Company’s privacy notice explains applicable data rights, retention, service providers and international transfers.
6.3 The Applicant should submit nonpublic code or sensitive technical information only when requested and should not submit sensitive personal data or confidential third-party information unless specifically requested and lawfully shareable. The Company will treat nonpublic source code and technical material supplied for evaluation as confidential, use it only for the Programme, limit access to personnel, judges and service providers who need it and are bound by confidentiality obligations, and use reasonable security measures. These duties do not cover information already public without breach, lawfully known to the Company before disclosure, independently developed without using the Applicant’s material, or required to be disclosed by law. The Company may retain limited records needed for legal compliance or disputes under the privacy notice. A request to delete information needed to assess an Application may prevent further participation, subject to applicable data protection law.
07confirming and paying awards
7.1 Shortlisting or a provisional notice does not create a right to payment. Before confirming an Award the Company may require identification, proof of eligibility and ownership, accurate banking information, tax documentation, sanctions screening of the Recipient and of its beneficial owners, directors and named founders, a signed declaration and reasonable supporting material. The Company will describe a person or company as a confirmed Award Recipient in its public announcements only after it has completed the required eligibility and compliance checks and issued written confirmation under clause 7.2.
7.2 An Award is made only when the Company issues written confirmation identifying the Recipient, the Award amount and any outstanding conditions. The Company may withhold or withdraw a proposed or conditional Award if verification fails, required documents are not provided within a reasonable stated period, information is materially inaccurate, law or screening prevents payment, or an issue described in section 9 arises before payment. The Company may also withhold payment of any Award that has not yet been paid, including a confirmed Award, where an issue described in section 9 arises or where payment would be unlawful or prohibited by sanctions.
7.3 Once the Company has confirmed an Award and all stated conditions are met, the Company will pay the Award Funds in US dollars within 60 days, unless the confirmation specifies another period. The Company may deduct legally required withholding. The Recipient bears bank and conversion charges. The Company may verify any bank details, and any change to bank details, through a channel independent of the request. Payment made to details the Company has verified discharges its obligation to pay the Award Funds in full.
7.4 The written Award confirmation must name the Recipient. It may name an Applicant Company only if that company accepted these terms through an authorized Applicant; otherwise the Recipient must be the individual Applicant. The Company may require evidence of authority and agreement among relevant founders before confirming the Recipient. The Recipient is responsible for allocating Award Funds among its team. The Applicant is responsible for the accuracy of the Application and the authority to submit it; the Recipient is responsible for payment details, use of Award Funds and post-Award duties. A company formed or identified after the Effective Date may become an Applicant Company if, before the Award is confirmed, an authorized representative accepts these terms on its behalf in the form the Company requires. The Company may then name it as Recipient.
7.5 Award Funds are intended to support development of the Project. There are no spending milestones or routine line-by-line accounting requirements. The Company may ask the Recipient for a brief update on the Project and use of funds within 12 months of payment; the Recipient agrees to provide a reasonable update within 30 days of a request.
7.6 Credits, mentorship, introductions and other non-cash benefits may be offered to Award Recipients. Each benefit is subject to availability, the provider’s eligibility and redemption requirements, and the provider’s product or service terms. Material restrictions known to the Company will be described when the benefit is offered. The provider, not the Company, is responsible for issuing, redeeming and supporting its benefit. No benefit or cash equivalent is guaranteed unless the Company expressly confirms it to the Recipient in writing. The Company need not provide a replacement if a provider declines or fails to deliver a benefit.
08taxes and independent status
8.1 The Recipient is responsible for determining and paying taxes arising from an Award, except for any tax the Company must withhold by law. The Company does not provide tax advice. Award Funds are inclusive of any value added tax, goods and services tax or similar tax that applies. The Company will not gross up an Award for any such tax.
8.2 An Application or Award creates no employment, agency, partnership, joint venture, investment or ongoing funding relationship. An Award is not an approval, certification or endorsement of the Project, its safety, legality or commercial prospects.
09disqualification and recovery
9.1 The Company may reject an Application or withdraw a proposed or conditional Award for breach of these terms, materially false or misleading information, failure to cooperate, tampering, legal or sanctions concerns, or conduct that the Company reasonably considers likely to create material legal or reputational risk.
9.2 If Award Funds have been paid and the Company later establishes that a material eligibility statement or material assurance in the Application or Award declaration was false when made, or that the Award was obtained through fraud or deliberate concealment by the Applicant, any Applicant Company or the Recipient, the Company may require the Recipient to repay the Award Funds within 30 days of written demand, to the extent permitted by law. Where the false statement or concealment was made by the Applicant and the Recipient is an Applicant Company, the Applicant and the Recipient are jointly responsible for repayment. This does not limit other available remedies.
9.3 If a Recipient moves the Project's primary public website away from .tech during the period required by clause 2.6, the Company may give written notice requiring it to be restored within 30 days. If it is not restored within that period, the Company may require the Recipient to repay a proportion of the Award Funds equal to the number of whole months then remaining in the period required by clause 2.6 divided by 24, subject to a minimum of 50% of the Award Funds where the move occurs within 12 months of payment. That obligation is not subject to the cap in clause 11.3. The Company may also withdraw any continuing benefit and publicly disassociate the Programme from the Project. The Company may waive or reduce repayment, including where the move follows a genuine change of product or brand.
10programme changes
10.1 The Company may extend dates, amend the Programme, its criteria, available Award amounts or these terms, or suspend or cancel the Programme. Changes will be dated and published on the Programme website. The Company will notify affected Applicants by email of a material change where reasonably practical. A material change to selection criteria or available Award amounts will not apply to Applications already submitted unless required by law, needed to address fraud or abuse, or agreed by the affected Applicant. Other amendments apply only to Applications submitted after the amended terms are published. An Applicant who has already accepted these terms remains bound by the version accepted unless they accept the amended version. If the Programme is cancelled, the Company will announce the cancellation and tell Applicants with pending Applications whether evaluation has ended or will continue, and whether any Awards remain available. Cancellation does not create a right to an Award or reimbursement of application or development costs. It will not remove a confirmed Award, except as these terms or applicable law permit.
10.2 The Company is not responsible for lost, delayed or corrupted submissions or interruptions caused by systems or events outside its reasonable control. Applicants should retain copies and submit before the deadline.
11responsibility and liability
11.1 The Applicant Company, if there is one, is responsible for the Project, its users, operations, content and compliance with law. If there is no Applicant Company, the Applicant is responsible. The Recipient is responsible for the post-Award duties in clauses 2.6 and 7.5. The Company is not responsible for claims or proceedings concerning the Project merely because it assessed an Application, made an Award or promoted a Recipient.
11.2 The Applicant and any Applicant Company are each responsible for their own material breach of these terms, infringement of third-party rights or unlawful conduct. To the extent a third-party claim is caused by its own conduct or breach, that party will reimburse the Company and its group companies for reasonable, documented losses and legal costs, except to the extent caused by the Company’s own wrongful conduct. Neither is personally liable under this clause solely because of the other’s separate conduct. The Company will promptly tell the affected party about such a claim, allow reasonable participation in its defense, and will not settle it in a way that imposes an obligation on that party without its written consent, which must not be unreasonably withheld.
11.3 Nothing in these terms limits liability for fraud, deliberate wrongdoing or anything that cannot lawfully be limited, the duty to repay Award Funds under clauses 9.2 and 9.3, or the Company's duty to pay a confirmed Award once the conditions in clause 7 have been met and no ground for withholding under clause 7.2 applies. Subject to that, none of the Company, Applicant or Applicant Company is liable to another for indirect or consequential loss, lost profit or lost opportunity. The Company's, the Applicant's and any Applicant Company's respective total liability arising from the Programme is limited to US $10,000 for each party, to the extent permitted by law. For all third-party claims covered by clause 11.2, the liable Applicant's or Applicant Company's cap is instead the greater of US $10,000 or the Award Funds actually paid to that liable party.
12general
12.1 These terms are governed by the laws of the State of California, USA, without regard to its conflict of laws principles. Any dispute is subject to the exclusive jurisdiction of the state or federal courts located in California, subject to any mandatory law that applies.
12.2 If a provision is unenforceable, the remaining provisions continue. No failure or delay to enforce a term waives it.
12.3 The Programme is governed by these terms, together with the submission deadline and any timetable published on the Programme website. Where documents conflict for a given Applicant or Recipient, the following order applies, to the extent permitted by applicable law: first, a written Award confirmation, but only where it expressly states that it varies these terms; then any declaration signed under clause 7.1; then these terms; then material published on the Programme website; then other marketing material. The Company's privacy notice governs personal data handling and does not change Award eligibility or payment rights.
12.4 The English version controls over any translation. The Programme is void where prohibited by law. Notices to the Company must be sent to noexcuses@get.tech. Notices to an Applicant or Recipient will be sent to the email address in the Application. A notice sent by email is treated as received on the next business day after it is sent, as defined in clause 4.4, unless the sender receives a delivery failure. Where a delivery failure arises because the Applicant or Recipient has not kept that address current, the notice is still treated as received on the next business day after it is sent. An Applicant must keep the email address in the Application current until the Company notifies the outcome of the Application. A Recipient must do so until its obligations under these terms end.
12.5 Clauses 2.6, 4.1 to 4.3, 4.5, 4.6, 5, 6, 7.5, 8, 9, 11 and 12 continue after the Programme ends, is cancelled, or an Award is paid, for as long as needed to give them effect. Confidentiality under clause 6.3 continues while the material remains nonpublic, subject to its stated exceptions.
12.6 Neither the Applicant nor an Applicant Company may transfer an Application or an Award before payment without the Company’s written consent. A “Qualifying Sale” is a genuine, arm’s-length sale of control of the business operating the Project, or substantially all of the Project’s assets, to an unrelated buyer, after which the Applicant and the Project’s original founding team no longer control the Project. On completion of a Qualifying Sale, the Recipient’s future obligations under clauses 2.6 and 7.5 end automatically. The Recipient must notify the Company and provide reasonable evidence of the sale; obligations that arose before completion remain due. A transfer to an affiliate, a change of name or a sale arranged mainly to avoid these terms is not a Qualifying Sale. The Company may transfer the Programme to a group company or successor that assumes its outstanding obligations.
12.7 No party is liable for delay or failure to perform an obligation under these terms to the extent caused by events beyond its reasonable control, provided it notifies the other party promptly and resumes performance as soon as reasonably practicable. This clause delays but does not excuse the Company's obligation to pay a confirmed Award, which will be paid within 30 days after the event ends. This clause does not apply where payment is prohibited by law or sanctions, which clause 7.2 governs, and does not extend the Recipient's obligations under clause 2.6 beyond the temporary outages permitted there.
